Affiliate Program
Version 2026-10-14 · Ridge Point Holdings, LLC, doing business as HOAware
This Affiliate Program Agreement (the “Agreement”) is between Ridge Point Holdings, LLC, doing business as HOAware (“HOAware”, “we”, “us”), and the individual or entity applying to the affiliate program (“Affiliate”, “you”).
By ticking the acceptance box and typing your name as an electronic signature on the affiliate application, you agree to this Agreement. You also consent to doing business electronically, and you agree that your typed name, together with the date, time and Internet address recorded at the moment of acceptance, has the same effect as a handwritten signature.
Acceptance of your application is at our sole discretion. Nothing in this Agreement obliges us to approve an application, and an application that is not approved creates no commission entitlement of any kind.
Once approved, you are issued a unique referral code and referral link. When somebody arrives at our website through your link and subsequently becomes a paying HOAware customer, you earn commission on what that customer pays us, on the terms set out below.
You are appointed on a non-exclusive basis. We may appoint any number of other affiliates, market directly in any territory, and sell to anybody, including people you have introduced, without any obligation to you beyond the commission this Agreement provides for.
Unless your account shows a different plan, commission is 20% of the monthly amount the referred customer actually pays us for the first twelve months of their subscription, and 10% of that monthly amount for as long as they remain a customer after that. The twelve months are counted from the month the customer begins paying, not from the month you introduced them.
Commission is calculated on net subscription revenue received: it excludes sales tax and other taxes, third-party payment processing fees, set-up and implementation charges, professional services, hardware, postage and printing, refunds, credits, chargebacks and amounts written off as uncollectable.
Commission accrues monthly, one line per referred customer per month, and is visible in your affiliate portal. Commission becomes payable once the corresponding customer payment has been received and cleared by us and the account is not in dispute.
If a customer is refunded, charges back, or fails to pay after commission has been calculated, we may reverse or withhold the corresponding commission, including by offsetting it against commission otherwise due to you.
Your commission plan, including the rates above, may be changed prospectively on 30 days’ written notice to the email address on your account. A change never applies retrospectively to commission already accrued.
When a visitor arrives through your referral link we store a first-party cookie identifying your referral code. A customer who signs up or enquires within 30 days of that visit is credited to you, provided no later affiliate link has replaced it.
Where more than one affiliate could claim the same customer, the most recent referral link clicked before the customer made contact takes precedence (last-click attribution).
A customer who clears their cookies, uses a different device or browser, or reaches us some other way may not be credited automatically. If you believe a customer is yours and they do not appear in your portal, tell us promptly and we will credit the referral by hand where we are reasonably satisfied it is correct. Our determination of attribution is final.
Referrals are not credited where: the customer was already in our pipeline or an existing customer before your referral; the referral is you, your own household, or an entity you control or are employed by; or the sign-up is cancelled before any payment is received.
Commission is paid monthly in arrears, in US dollars, once the balance owed to you reaches $50.00. A balance below that threshold is carried forward to the next period.
You are responsible for keeping accurate payment details in your affiliate portal. We are not liable for commission sent to payment details you supplied incorrectly.
Before we can pay you we may require a completed Form W-9 (or Form W-8 if you are not a US person) and any other information needed for tax reporting. We may withhold payment until it is provided. Where required, we will issue a Form 1099.
Commission not claimed within twelve months of becoming payable — for example because we hold no usable payment details and cannot reach you — may be forfeited, subject to applicable law.
If you dispute a commission calculation, tell us within 60 days of the statement it appears on. After 60 days a statement is treated as accepted.
You may describe and link to our public website and use the marketing material we supply. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the HOAware name and logo for the sole purpose of promoting us under this Agreement, in the form we supply and without altering it.
You must clearly disclose your relationship with us wherever you promote us, in a way that complies with the US Federal Trade Commission’s Endorsement Guides and any equivalent rules that apply to you — for example, “I earn a commission if you sign up through this link.”
You must make only truthful and substantiated statements about us. You must not state or imply that you are HOAware, that you speak for us, or that we endorse you, and you must not make any promise, warranty or representation about our product, pricing or results on our behalf.
You must not: send unsolicited bulk email, SMS or messages of any kind to promote us, or promote us anywhere that would breach the CAN-SPAM Act, the Telephone Consumer Protection Act or any other law applying to the communication.
You must not bid on, register or use our brand name, our product names or confusingly similar terms in paid search advertising, as a domain name, as a social media handle, or in a mobile application listing, without our prior written consent.
You must not use cookie stuffing, forced clicks, hidden frames, pop-unders, adware, browser extensions that inject links, typosquatting, or any other technique that claims credit for traffic the visitor did not knowingly follow.
You must not generate referrals through your own purchases, through accounts you control, or through any arrangement designed to produce commission without a genuine new customer. Self-referral is grounds for immediate termination and forfeiture of commission.
You must not offer unauthorised discounts, rebates, coupons or cash incentives in our name, and must not promote us on any site containing unlawful, deceptive, defamatory, harassing, sexually explicit or discriminatory content, or on any site directed at children under 13.
You must not misrepresent our pricing or terms, or copy our website in a way likely to confuse a visitor about who they are dealing with.
You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise or employment relationship. You have no authority to make any commitment on our behalf, and you are not entitled to employee benefits of any kind.
You are solely responsible for your own taxes, your own business expenses and your own compliance with the laws that apply to you.
Each party keeps the other’s non-public information confidential and uses it only for the purposes of this Agreement. Customer data you encounter through the program is ours and our customers’, and must not be used for any other purpose, sold, or disclosed.
All rights in the HOAware software, website, content, trade marks and brand remain ours. This Agreement grants you no rights in them beyond the limited promotional licence in section 6, which ends automatically when this Agreement ends.
On termination you must promptly remove our name, logo and referral links from everything you control.
This Agreement starts when we approve your application and continues until either party ends it. Either party may end it at any time, for any reason, by written notice — for you, by emailing us; for us, by emailing the address on your account.
We may suspend your account immediately, without notice, where we reasonably suspect a breach of this Agreement or fraudulent activity. A suspended account earns no new commission while it is suspended.
If this Agreement ends without breach by you, commission already accrued on customers credited to you before it ended remains payable in the ordinary course, including the continuing lifetime commission, for as long as those customers keep paying.
If we end this Agreement because you breached it — in particular sections 6, 7 or 8 — all unpaid commission is forfeited and we may recover commission already paid on referrals affected by the breach.
The affiliate program is provided “as is”. We do not guarantee that any particular level of traffic, sign-ups, commission or earnings will result, and we give no warranty that tracking will be free of interruption or error. Any example figures we publish are illustrations, not projections.
We may change, suspend or discontinue the affiliate program, the portal or any part of it at any time. Where we discontinue the program as a whole we will give at least 30 days’ notice and pay commission accrued up to that point.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused.
Our total liability to you under or in connection with this Agreement is limited to the total commission paid or payable to you in the twelve months before the claim arose.
You will indemnify, defend and hold harmless Ridge Point Holdings, LLC, its officers, employees and agents against any claim, loss, liability, fine or expense (including reasonable legal fees) arising out of: your promotional activity; anything you said about us that we did not authorise; your breach of this Agreement; or your breach of any law applicable to you, including those governing advertising, email, telemarketing and data protection.
We may change this Agreement. A new version carries a new version date, and we will notify you by email and in the portal before it takes effect. Continuing to participate in the program after the effective date means you accept the new version; if you do not accept it, you may end this Agreement under section 10.
The version you accepted, the date and time you accepted it, the name you typed and the Internet address you accepted it from are recorded, and the version in force for your account is shown in your affiliate portal.
This Agreement is governed by the laws of the State of GA, without regard to its conflict of laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts sitting in that state.
You may not assign this Agreement without our written consent. We may assign it to an affiliate or to a successor in connection with a merger, acquisition or sale of assets.
If any provision is held unenforceable, the rest continues in force. A failure to enforce a provision is not a waiver of it. Sections 3 (so far as it concerns accrued commission), 8, 9, 11, 12 and 14 survive termination.
This Agreement, together with the privacy policy and any plan terms shown on your account, is the entire agreement between us about the affiliate program and replaces anything said or written before it.
